General Terms of Purchase

These General Terms of Purchase govern the contractual relationship between the user (hereinafter, the “Customer”) and Edilpanama (hereinafter, the “Company”) when making purchases through the website edilpanama.com.

2. Acceptance of terms

By placing an order through our website, the Customer acknowledges having read, understood, and accepted these General Terms of Purchase, as well as our Privacy Policy and Return Policy. If you do not agree with any of these terms, please refrain from making purchases on our site.

3. Purchase process

  1. Product selection: the Customer adds desired products to the shopping cart.
  2. Cart review: the Customer verifies quantities, products, and prices before proceeding.
  3. Shipping details: the Customer provides the delivery address and selects the shipping method.
  4. Payment method: the Customer selects and completes payment through the available methods.
  5. Confirmation: once the payment is processed, the Customer receives a confirmation email with the order reference number.

The order confirmation constitutes the formalization of the purchase agreement between the Customer and Edilpanama.

4. Prices and currency

All prices are expressed in United States Dollars (USD), the legal currency of Panama. Prices include the Transfer of Movable Goods and Services Tax (ITBMS) at 7%, unless expressly indicated otherwise. Edilpanama reserves the right to modify prices at any time without affecting previously confirmed orders.

5. Product availability

Products are subject to inventory availability. If a product becomes unavailable after an order is confirmed, Edilpanama will notify the Customer within 24 business hours, offering the following alternatives:

  • Wait for the product to be restocked, with an estimated availability date.
  • Select an alternative product with similar characteristics.
  • Cancel the item with a full refund of the corresponding amount.

6. Ownership and risk

Ownership of the products transfers to the Customer at the time of effective delivery. The risk of loss or damage transfers to the Customer upon receipt. The Customer must inspect the goods at the time of delivery and report any visible damage immediately.

7. Warranties

Products sold by Edilpanama carry the manufacturer’s warranty. Warranty terms and conditions are specified on each product page. The warranty does not cover damage resulting from incorrect use, improper storage, or application contrary to the manufacturer’s technical specifications.

8. Limitation of liability

Edilpanama shall not be liable for:

  • Damages resulting from incorrect use of purchased products.
  • Results from product application without following the manufacturer’s instructions.
  • Delivery delays caused by force majeure, natural disasters, labor disputes, or government restrictions.
  • Minor variations in color, texture, or tone of products such as paints and coatings, inherent to the nature of these materials.

9. Intellectual property

All content on the Edilpanama website, including text, images, logos, graphic design, and software, is the property of Edilpanama, S.A. or their respective owners and is protected by the intellectual property laws of the Republic of Panama. Reproduction without express authorization is prohibited.

10. Governing law and jurisdiction

These General Terms are governed by the laws of the Republic of Panama, including but not limited to:

  • Law 45 of October 31, 2007: Consumer Protection and Competition Defense.
  • Commercial Code of the Republic of Panama.
  • Law 81 of March 26, 2019: Personal Data Protection.

Any dispute arising from the interpretation or execution of these terms shall be submitted to the jurisdiction of the ordinary courts of the First Judicial District of Panama, based in Panama City, with both parties waiving any other jurisdiction that may apply.

11. Modifications

Edilpanama reserves the right to modify these General Terms at any time. Modifications will take effect from the date of publication on the website. Orders placed before any modification will be governed by the terms in effect at the time of purchase.
